Terms of Service

By creating an account or using StemSolo (the “Service”), operated by Blair Studios LLC (“we,” “us,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. Minors may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on their behalf.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You retain all ownership rights to the audio files you upload and the stems generated from them (“Your Content”). We do not claim ownership of Your Content.

You represent and warrant that you own all rights in Your Content, or that you have obtained all licenses, permissions, and consents necessary to upload it and to have it processed by the Service. You are solely responsible for Your Content and for any consequences of uploading it.

You grant us a limited, non-exclusive, royalty-free license to host, store, transmit, and process Your Content solely to provide the Service to you (including running source separation, generating stems, and delivering results back to you).

You may not use the Service to upload content you do not have rights to, infringe third-party rights, circumvent DRM, post illegal or harassing material, attempt to reverse engineer or abuse our infrastructure, or resell the Service without our written consent. We may suspend or terminate accounts that violate these rules and cooperate with valid legal requests, including DMCA takedown notices.

The Service is offered on a credit-based model and through subscription plans. Prices may change with notice. Payments are processed by Stripe; by purchasing, you also agree to Stripe’s terms.

Credits are non-transferable and, except where required by law, are non-refundable. Subscription credits may expire at the end of each billing period. If a job fails on our side, we will typically refund the credit to your account.

The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, specific separation quality, or that the Service will meet your requirements. Stem separation is a probabilistic process and results will vary.

The StemSolo name, logo, software, models, and all associated materials are owned by Blair Studios LLC and protected by intellectual property laws. These Terms do not grant you any license to our trademarks or proprietary technology.

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. Sections that by their nature should survive termination will survive.

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Blair Studios LLC and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim or (b) USD $50.

You agree to defend, indemnify, and hold harmless Blair Studios LLC from any claims, damages, liabilities, and expenses arising out of Your Content or your violation of these Terms.

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
